Terms of Service

The Platform is an enterprise-grade asset management tool intended exclusively for:

• Authorized employees, contractors, and administrators of organizations that have licensed the Platform from Vector4 Tech
• Individuals who are at least 18 years of age

Access is granted solely through credentials issued by your organization's designated T.R.A.C.E. administrator. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify your administrator immediately of any unauthorized use of your account.

Subject to your compliance with these Terms, Vector4 Techgrants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your organization's internal asset management purposes.

You may not:

• Sublicense, sell, resell, transfer, or otherwise commercially exploit the Platform
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
• Use the Platform to build a competing product or service
• Access the Platform through automated means (bots, scrapers, etc.) without prior written consent from Vector4 Tech
• Remove or obscure any copyright, trademark, or other proprietary notices from the Platform

If you are an administrator or your organization has licensed the Platform, your organization is responsible for:

• User management: Provisioning, maintaining, and deprovisioning user accounts in a timely manner
• Appropriate use: Ensuring that all authorized users within your organization comply with these Terms
• Data accuracy: The accuracy, quality, and legality of all asset records, audit data, and other data entered into the Platform
• Infrastructure access: Providing the Platform with appropriate network access to your on-premise systems (e.g., MS SQL Server) where applicable
• Device security: Ensuring that devices running the T.R.A.C.E.Mobile application are secured and managed in accordance with your organization's security policies

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform for any unlawful, fraudulent, or malicious purpose
• Attempt to gain unauthorized access to any part of the Platform, its servers, or any system connected to the Platform
• Tamper with, alter, or circumvent the cryptographic audit trail or hash chain integrity mechanisms
• Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, or infringes on the intellectual property rights of others
• Introduce any malicious code, viruses, worms, or other harmful software into the Platform
• Use the Platform in any manner that could damage, disable, or impair its performance or availability

A core feature of the Platform is its SHA-256 cryptographic hash chain, which creates a tamper-evident, immutable audit log of all asset lifecycle events. You acknowledge that:

• All actions performed under your credentials are permanently and irrevocably recorded in the audit trail
• Audit log entries are attributable to your user account and may be used for compliance, regulatory, or legal purposes by your organization
• Any attempt to tamper with, falsify, or corrupt audit records is a material breach of these Terms and may constitute a violation of applicable laws

The Platform, including all software, designs, algorithms, and content, is owned by or licensed to Vector4 Tech and is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

Your organization's asset data, records, and audit logs entered into the Platform remain the property of your organization.Vector4 Tech does not claim ownership over your organizational data.

The Platform integrates with the following third-party services, which are governed by their own terms and policies:

• Google Firebase Cloud Messaging (FCM): Used for push notifications. Governed by Google's Terms of Service.
• Google Play: The T.R.A.C.E. Mobile Android application is distributed via the Google Play Store, subject to Google Play's Terms of Service.

Vector4 Tech is not responsible for the practices of these third-party services.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Vector4 Tech does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. We do not warrant the accuracy, completeness, or timeliness of any information generated by the Platform.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Vector4 Tech AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL Vector4 Tech'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION TO Vector4 Tech FOR THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Vector4 Tech may suspend or terminate your access to the Platform at any time, with or without notice, if you or your organization:

• Violates any provision of these Terms
• Engages in conduct that Vector4 Tech determines, in its sole discretion, to be harmful to the Platform, other users, or third parties
• Fails to make payments required under your organization's license agreement

Upon termination, your right to access the Platform immediately ceases. Your organization's data may be retained or deleted in accordance with the Privacy Policy and any applicable license agreement.

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Philippines.

We reserve the right to update or modify these Terms at any time. We will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify users (e.g., through the Platform or via email). Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
